Master Service Agreement

1. Purpose

You engage Realty Ease AI to provide virtual assistant and related professional services as selected through our online platform. By confirming your subscription plan, you agree that the selected category, plan, hourly rate, and total hours form the binding Statement of Work (SOW).

2. Scope of Services

We provide qualified Virtual Assistants (VAs) across the following service categories:

• Social Media Management:Content creation, scheduling, community management, and platform analytics
• Digital Marketing:Campaign management, SEO, email marketing, and performance reporting
• Web Development:Website design, development, maintenance, and technical support
• AI Automation:AI workflow integration, automation setup, and AI-assisted task execution
• Operational Services:Operational support, scheduling, data entry, and coordination tasks

Services are delivered under subscription plans (Starter, Growth, Business, Enterprise) that define allocated hours per service category per billing cycle. Additional AI tool usage is governed by an AI Credits system billed separately from hourly allocations.

3. Term and Renewal

This Agreement becomes effective upon digital acceptance and renews automatically according to your active subscription plan. Renewal payments are processed through auto-payment on the scheduled billing date.

4. Termination

Either Party may terminate by providing 14 days' written notice. Immediate termination is permitted for:

• Breach of confidentiality or material terms
• Repeated non-performance or failure to meet KPIs
• Failed or declined auto-payments

5. Compensation and Auto-Payment

• You authorize auto-charges for your selected service plan
• All payments processed in USD, charged in advance
• Payments are non-refundable except in verified cases of non-performance
• Failed payments may result in service pause

6. Performance Standards

All assigned VAs meet professional performance standards for task completion, deliverable quality, communication timeliness, and adherence to assigned hours. KPIs are monitored regularly.

7. Confidentiality and Data Protection

Both Parties shall maintain confidentiality of all data and business information. The Company shall:

• Ensure all VAs sign binding NDAs
• Maintain strict access control to Client platforms
• Revoke access immediately upon termination

These obligations survive termination for two (2) years.

8. Ownership of Work

All final deliverables created by our VAs become your exclusive property upon full payment. We retain ownership of our proprietary tools, templates, processes, and training materials.

9. Client Responsibilities

You agree to:

• Provide timely and clear instructions
• Respond promptly to communications
• Grant necessary access to software and tools

10. Independent Contractor Relationship

All VAs are independent contractors engaged through Realty Ease AI. No employer-employee relationship exists between you and any VA.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of New York, USA. Disputes shall first be resolved through negotiation, then binding arbitration in New York.
